Acceptance and Scope

By using this website, submitting an inquiry, downloading information, or communicating with Titanium Valley, you agree to these Terms of Service. These terms govern website use and general pre-contract interactions.

Commercial terms in a signed agreement, accepted quotation, pro forma invoice, purchase order acknowledgment, or order confirmation will control the relevant sale where they differ from these website terms.

Company and B2B Services

The website is operated for Baoji Titanium Valley Titanium Nickel Zirconium Material Processing Co., Ltd. and its industrial materials business. We supply titanium, nickel, zirconium, and other non-ferrous metal materials and related processing support primarily to business customers.

Permitted Website Use

You may use the website for legitimate business research, product evaluation, and communication. You may not misuse forms, attempt unauthorized access, introduce malicious code, scrape the site in a manner that disrupts service, impersonate another party, infringe intellectual property, or use content for unlawful or misleading purposes.

RFQs, Quotations, and Contract Formation

Website content, product ranges, and responses to preliminary inquiries are invitations to discuss supply and are not binding offers. A contract is formed only through the acceptance process stated in the relevant quotation or order confirmation.

Quotation validity, minimum order quantity, tooling, sample costs, payment terms, lead time, packaging, Incoterm, freight, and documentation requirements are order-specific.

Specifications and Buyer Responsibility

The buyer is responsible for confirming that the selected material, grade, dimensions, tolerances, condition, surface, testing, documentation, and regulatory requirements are suitable for the intended application. Buyer-supplied drawings and specifications must be complete, accurate, and authorized for our use.

Technical suggestions are general manufacturing support unless a signed agreement expressly assigns design responsibility to Titanium Valley.

Pricing, Payment, and Taxes

Prices and currencies are as stated in the quotation and may be based on metal markets, exchange rates, quantity, yield, processing route, inspection, packaging, and freight assumptions. Taxes, customs duties, bank fees, import charges, and similar costs are allocated by the quotation, Incoterm, or applicable law.

Production and dispatch may depend on receipt of deposits, cleared funds, credit approval, or other agreed payment conditions.

Custom Manufacturing and Tolerances

Custom products may require raw-material procurement, trial production, tooling, minimum runs, process allowances, and reasonable quantity variation. Applicable tolerances and acceptance criteria must be agreed in writing before production.

Images, sample data, nominal values, and website descriptions are illustrative and may not represent every grade, finish, dimension, or production lot.

Lead Time, Delivery, Risk, and Title

Lead times are estimates unless expressly guaranteed in writing. Delivery terms, transfer of risk, title, freight, insurance, export clearance, import clearance, and unloading are governed by the agreed Incoterm and order documents.

The buyer must provide accurate delivery, customs, and consignee information and obtain required import permits or approvals unless otherwise agreed.

Inspection, Claims, and Limited Warranty

The buyer must inspect goods promptly and submit claims with supporting evidence within the period stated in the order documents or our Refund Policy. Unless otherwise agreed, our product warranty is limited to conformity with the written specification at the agreed delivery point.

Remedies for verified non-conformity are subject to the applicable contract and may include reprocessing, replacement, credit, or refund of the affected product value.

Intellectual Property and Confidentiality

Website text, graphics, logos, layout, and original media are owned by or licensed to Titanium Valley and may not be reproduced for commercial use without permission.

Each party retains ownership of its pre-existing intellectual property. Buyer drawings remain the buyer's or relevant owner's property. Project-specific confidentiality obligations are governed by any signed NDA or supply agreement.

Export, Sanctions, and Lawful Use

Each party must comply with applicable export controls, sanctions, customs, anti-bribery, and trade laws. The buyer must not request or use products for prohibited end users, destinations, or purposes and must provide end-use information when reasonably required for compliance.

Liability and Force Majeure

To the extent permitted by applicable law and subject to the governing sales contract, Titanium Valley is not liable for indirect, incidental, special, punitive, or consequential loss arising from website use or a transaction. Any order-related liability is limited as stated in the accepted commercial documents.

Neither party is responsible for delay caused by events reasonably beyond its control, including natural disasters, government action, war, epidemic, labor disruption, utility or transport failure, raw-material shortage, or major supply-chain interruption. The affected party should notify the other and take reasonable mitigation steps.

Changes, Governing Terms, and Contact

We may update these website terms from time to time. The terms in effect when you use the website apply to that use. Governing law, dispute resolution, language priority, and jurisdiction for a sale are determined by the signed agreement or accepted order documents. The parties should first attempt to resolve commercial issues through good-faith negotiation.
